Terms of Service

These Terms constitute a binding legal agreement between LIMIQ and the individual accessing or using our automated document analysis platform.

Important: By creating an account, completing a social log-in, uploading documents, or purchasing credits, you unconditionally agree to be bound by these Terms. If you do not agree, you must immediately cease using the platform.

1. Nature of the Service & The "Digital Scout" Framework

1.1Automated Data Extraction Only: LIMIQ provides an automated software service that uses artificial intelligence, machine learning, optical character recognition (OCR), and large language models (LLMs) to scan, categorize, parse, and summarize data contained within user-uploaded Land Information Memorandums (LIMs), building reports, and property files.

1.2No Legal, Financial, or Structural Advice: LIMIQ is a data parsing utility. It does not provide legal advice, structural engineering assessments, conveyancing services, or official real estate declarations. The reports, alerts, and risk dashboards generated by the platform are for informational, preliminary scoping purposes only.

1.3Independent Professional Advice Mandate: Our platform does not replace human due diligence. You are strictly required to consult a qualified, licensed New Zealand property lawyer, conveyancing solicitor, registered building inspector, or structural engineer before signing any unconditional Sale and Purchase agreements or waiving conditional clauses.

2. The AI & Data Accuracy Waiver (Absolute Disclaimer)

2.1Inherent AI Limitations: You explicitly acknowledge and agree that artificial intelligence systems, document text parsers, and language processing models:

  • May occasionally misinterpret complex text layout structures, maps, handwritten council notations, faded historical ink, or unconventional formatting variations.
  • May omit or miss critical legal, environmental, or zoning footnotes hidden in dense council disclosures.
  • May produce inaccurate summaries, variances, or "hallucinations" based on the relative quality, distortion, or legibility of the input PDF file.

2.2Assumption of Risk: You assume absolute and total responsibility for verifying the accuracy of any risk alert, green flag, red flag, or summary item generated by the service against the raw source documents issued by the local municipal authority.

3. User Authentication, Security, & Social Log-Ins

3.1Account Responsibility: To utilize our services, you must register an account. You can create an account using standard email-and-password credentials or via third-party secure identity providers (e.g., Google OAuth Sign-In).

3.2Social Account Security: If you utilize Google Sign-In or another social identity provider, you are solely responsible for maintaining the security of that external account. We accept no liability for unauthorized access to your account resulting from compromised third-party authentication profiles.

3.3Account Misuse: You must notify us immediately at legal@limiq.co.nz upon detecting any unauthorized entry or logical data breach affecting your workspace profile.

4. Fees, Credits, and Financial Absolute Refund Block

4.1Pre-Paid Credit Architecture: The platform utilizes an unexpired, non-transferable internal digital credit model. One (1) account credit entitles you to process one (1) single complete property document upload package through our automated engine.

4.2No Refunds on Processed Materials: Because our services immediately deploy premium, low-latency machine learning infrastructure, API integrations, and token-based computational parsing resources the very instant a file is processed into your profile workspace, all completed transactions and credit deductions are final and strictly non-refundable.

4.3System Fault Exceptions: If an execution completely fails due to a verified internal system error on our platform (and not due to an unreadable, corrupted, or password-locked file provided by you), we will re-credit the digital credit token back to your user account profile following an evaluation by support.

5. Document Upload Guarantees & Cross-Lease / Unit Title Acknowledgments

5.1User Authority Warranties: By uploading any file to our platform, you explicitly warrant and declare that you possess the undisputed lawful authority, copyright permissions, or clear owner authorization required to transmit, parse, and store that document.

5.2Cross-Lease and Unit Title Exclusions: If you upload documents concerning a Cross-Lease title or a Unit Title (such as an apartment complex):

  • You acknowledge that a LIM report only reflects the local city council's registered tracking data.
  • You agree that our engine cannot verify physical footprint conformity against a land registration "Flats Plan" or audit cross-entity Body Corporate insurance records, structural litigation notices, or financial levy accounts.

6. Intellectual Property Restrictions

6.1Proprietary Software Systems: We retain exclusive ownership of all software logic, system source code, data parsing architectures, structural document classification rules, mathematical algorithm models, look-and-feel formatting interfaces, and visual report dashboards generated by the system.

6.2Permitted Usage Boundaries: You are granted a restrictive, non-sublicensable license to download, print, or share your generated individual analytical risk summaries solely for your personal property acquisitions or for direct transactional consultation with your designated professional advisors. You are explicitly forbidden from reverse engineering, scrap-extracting, or reselling our system's analytical outputs.

7. Global Limitation of Liability & Complete Indemnification

7.1Maximum Liability Cap: To the maximum extent permitted by New Zealand law, LIMIQ, its corporate directors, software engineering teams, and parent holding groups shall never be held legally or financially liable for any indirect, consequential, special, punitive, or catastrophic loss or damage. This includes, without limitation:

  • Lost real estate deposits, failed auction bids, or aborted property sales.
  • Unexpected structural remediation costs, council enforcement actions, or retrofitting fees for historical unconsented works.
  • Unforeseen environmental impacts, localized land subsidence, or flooding losses.

7.2Absolute Cap: In all instances, our cumulative financial liability under any legal claim, contract violation, or negligence action is strictly capped at the exact total amount paid by you directly to LIMIQ for the specific transaction credit that triggered the dispute.

7.3Indemnification Clause: You agree to fully indemnify, defend, and hold harmless LIMIQ from any third-party claims, liabilities, or legal expenses (including full solicitor fees) arising from your breach of these Terms or your distribution of our platform's reports to unverified third parties.

8. Term Adjustments and New Zealand Jurisdiction

8.1Evolution of Terms: We reserve the right to modify these Terms at any time. Changes take effect instantly upon being published to our digital platform pages. Your continued access to the platform following an update confirms your formal acceptance of the modified framework.

8.2Governing Law: These terms are governed exclusively by the laws of New Zealand. Any formal legal proceedings or judicial disputes must be brought solely and exclusively before a court of competent jurisdiction inside New Zealand.
